Commission rates are set by client industry and contract value, agreed in writing before any introduction is made. The maximum rate is 1% of independently verified savings or measurable performance improvements — whichever applies to your client’s engagement.

Because Coaley Peak bills clients only on results, your commission is always tied to outcomes that have been verified by an independent third party. There are no inflated projections and no activity-based fees to negotiate around.

Example

A manufacturing client achieves £400,000 in independently verified annual operational savings. At a 1% partner commission rate, that represents £4,000 per year to you — for a single introduction.

When is commission paid?

Commission is paid after independent verification of the savings or performance gain attributed to the engagement. Verification timelines vary by client type; payment terms are set out in your partner agreement.

Do I need to stay involved after the introduction?

No. Once you have made the introduction, Coaley Peak manages the entire client relationship and delivery. You may choose to remain involved as an adviser to your client, but there is no obligation.

Is there a minimum referral volume?

There is no minimum. The programme is designed to work equally well for advisers who make occasional introductions and those who refer regularly.

Can I refer clients outside my own sector?

Yes. Coaley Peak works across all UK industries. You do not need sector-specific expertise to make a referral — if your client has a cost or performance challenge, we can assess whether Owlpen is a fit.

Partner Programme Terms & Conditions

1. Definitions

In these Terms: "Coaley Peak" means Coaley Peak Ltd (Company No. 11783676), registered in England & Wales. "Partner" means the individual or entity that has registered for the Partner Programme by sending written confirmation to Coaley Peak and receiving written acceptance. "Referral" means a named potential client introduced by the Partner to Coaley Peak in accordance with these Terms. "Verified Result" means a saving or measurable performance improvement independently verified in accordance with Coaley Peak's standard verification process, as described at /legal/independent-verification. "Commission" means the payment due to a Partner under clause 5.

2. Participation — agreement is required

Participation in the Partner Programme requires prior written agreement between the Partner and Coaley Peak. No commission entitlement arises and no referral is treated as valid until Coaley Peak has confirmed in writing (including by email) that the Partner is enrolled. Registering interest does not constitute enrolment. A Partner Agreement document will be provided by Coaley Peak upon acceptance; these Terms are incorporated into that document. The Partner Programme is open to UK-based and international entities, subject to Coaley Peak's acceptance and applicable law. Coaley Peak reserves the right to decline any application without giving reasons.

3. Making a referral

A referral is valid only if: (a) it is submitted in writing to Coaley Peak before any commercial engagement between Coaley Peak and the referred party; (b) the referred party is not already a current or former client of Coaley Peak, nor a party that Coaley Peak has already been in active commercial discussions with within the preceding six months; (c) the Partner has not introduced the same party to any other Coaley Peak partner; and (d) the referred party expressly consents to the introduction being made. Coaley Peak will confirm in writing whether a referral is accepted within ten business days. Acceptance of a referral does not guarantee that a contract with the referred party will be concluded.

4. Exclusions

No commission is payable in respect of: referrals of the Partner's own business or any associated or related entity; referrals where the Partner has a financial interest in the referred entity; referrals submitted after Coaley Peak has already been independently approached by or entered into discussions with the referred party; referrals that do not result in a signed engagement agreement between Coaley Peak and the referred party within twenty-four (24) months of the referral date; or referrals that are revoked or rejected by Coaley Peak under clause 3.

5. Commission

5.1 The commission rate applicable to each accepted referral will be set out in the Partner Agreement and confirmed in writing before any introduction is made. Rates are determined by client industry, engagement type, and verified contract value, up to a maximum of 1% of the Verified Result value. 5.2 Commission is calculated on the value of Verified Results only — not on projected, estimated, or contracted values. 5.3 Commission becomes payable upon Coaley Peak's receipt of the relevant verified result report from the independent verification body and cleared payment from the client in respect of that verified result. 5.4 Commission is paid within 30 days of the conditions in clause 5.3 being satisfied. 5.5 Coaley Peak reserves the right to set off any amounts owed by the Partner against commission payable. 5.6 Commission payments are made in Pounds Sterling (GBP) to a UK bank account nominated by the Partner, unless otherwise agreed in writing. 5.7 The Partner is solely responsible for any tax liability arising from commission received. Coaley Peak does not deduct tax at source. Partners should obtain independent tax advice.

6. Confidentiality

Partners must keep all information relating to Coaley Peak's clients, pricing, commercial terms, technical systems, and methodologies strictly confidential. Partners must not disclose such information to any third party without Coaley Peak's prior written consent. This obligation survives termination of the Partner Agreement for a period of five years. Coaley Peak's confidential information remains its property at all times.

7. No employment, agency, or exclusivity

Nothing in these Terms or any Partner Agreement creates an employment, worker, or agency relationship between the Partner and Coaley Peak. Partners act as independent introducers only. Partners have no authority to bind Coaley Peak contractually, make representations on its behalf, or commit Coaley Peak to any price, service, or term. Coaley Peak is not exclusive to any Partner and may enter into partner arrangements with any other party, including parties operating in the same sector or geography as the Partner.

8. Partner conduct

Partners must not make representations about Coaley Peak's services that are inaccurate, misleading, or inconsistent with Coaley Peak's published materials. Partners must not approach a referred client's competitors on Coaley Peak's behalf without written approval. Partners must not engage in cold calling, spam, or unsolicited mass marketing when promoting the Partner Programme. Any breach of this clause entitles Coaley Peak to terminate the Partner Agreement with immediate effect and withhold any outstanding commission.

9. Intellectual property

Coaley Peak grants the Partner a limited, non-exclusive, non-transferable licence to use Coaley Peak's name, logo, and approved marketing materials solely for the purpose of promoting the Partner Programme in accordance with Coaley Peak's brand guidelines. This licence may be revoked at any time. The Partner acquires no ownership interest in any Coaley Peak intellectual property.

10. Liability

Coaley Peak's total liability to a Partner in respect of all claims arising under or in connection with the Partner Programme (whether in contract, tort, or otherwise) shall not exceed the total commission paid to that Partner in the twelve months preceding the event giving rise to the claim. Coaley Peak is not liable for any loss of profits, loss of opportunity, or indirect or consequential loss suffered by the Partner. Nothing in these Terms limits Coaley Peak's liability for death or personal injury caused by its negligence, fraud, or any other liability that cannot be excluded by law.

11. Term and termination

Either party may terminate the Partner Agreement by giving 30 days' written notice. Coaley Peak may terminate with immediate effect if the Partner breaches any material provision of these Terms. On termination, the Partner's right to make new referrals ceases immediately. Commission continues to accrue on referrals accepted before the termination date, provided the conditions in clause 5 are met within 24 months of the original referral date.

12. Amendments

Coaley Peak may amend these Terms at any time by providing 30 days' written notice to enrolled Partners. Continued participation after the notice period constitutes acceptance of the amended Terms. If a Partner does not accept the amended Terms, they may terminate the Partner Agreement before the notice period expires without penalty.

13. Governing law and disputes

These Terms and any Partner Agreement are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, with London as the seat of any litigation or arbitration proceedings. Coaley Peak encourages Partners to raise concerns informally in the first instance by contacting partners@coaleypeak.co.uk.

14. General

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. These Terms constitute the entire agreement between the parties in relation to the Partner Programme and supersede all prior representations, discussions, or agreements. Any waiver of a breach of these Terms must be in writing and does not constitute a waiver of any subsequent breach. Notices under these Terms must be sent in writing to legal@coaleypeak.co.uk (for the Partner notifying Coaley Peak) or to the Partner's registered address or email address on record.
